Wisconsin Spice, Inc. Website Use Agreement

Effective Date: May 1, 2026 

This Internet Website Use Agreement (the “Agreement”) is between you and Wisconsin Spice, Inc. (“Wisconsin Spice”) with principal offices at P.O. Box 190, 478 Industrial Park Rd., Berlin, Wisconsin 54923. Your use of the Wisconsin website (the “Site”) is subject to the following terms and conditions of use:

  1. Acceptance of These Terms. These Terms of Use (“Terms”) govern your access to and use of www.wisconsinspice.com and any related sites, applications, and online services we control (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
  1.  Eligibility & Geographic Scope. You must be at least 13 years old to use the Site. If you are using the Site on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.
  1. Privacy. No Tracking. No Sale/Sharing of Personal Information. We do not sell or share personal information, as those terms are defined under the applicable state and federal data privacy laws and regulations. We also do not engage in cross-site tracking or similar practices for behavioral advertising. Details about our data practices, including any collection and retention of job applicant information through the Careers Page, are described in our Privacy Policy (incorporated here by reference). Where applicable, our Privacy Policy contains the disclosures required by California’s Online Privacy Protection Act (“CalOPPA”), including any required “Do Not Track” statements. 
  1. Shine the Light (California Civ. Code §1798.83). We do not disclose personal information to third parties for their direct marketing purposes; if that changes, we will update our disclosures and provide applicable rights.
     
  2. Intellectual Property & License to Use the Site. The Site, including all content, text, graphics, logos, and software, is owned by Wisconsin Spice, Inc. or its licensors and protected by applicable intellectual property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for its intended purposes in accordance with these Terms. We reserve all other rights.
     
  3. Acceptable Use. You agree not to misuse the Site, including by:
  • Attempting to access non-public systems, interfere with security, or probe vulnerabilities;
  • Introducing malware, scraping without permission, or using automated means to access the Site except for standard search engine indexing;
  • Infringing third-party rights or violating any law or regulation.
     
  1. User Content & Feedback. If you submit content or feedback to us, you grant Wisconsin Spice, Inc. a worldwide, nonexclusive, royalty-free license to use, reproduce, modify, and display that content for our business purposes and to improve the Site and services, without any obligation to compensate you. Do not submit confidential or proprietary information unless we expressly request it.
     
  2. Third-Party Links & Services. The Site may contain links to third-party sites or services. We are not responsible for those sites, their content, or their practices. Your use of third-party sites is at your own risk and subject to their terms.
     
  3. Careers Page & Applicant Information. If you apply for a job through our Careers Page, we will collect and retain applicant information you provide (e.g., resume/CV, contact information, employment history, qualifications) for recruiting, evaluation, and compliance purposes, in accordance with our Privacy Policy. Submission of an application does not guarantee employment and does not create a contract other than as set forth in these Terms.
     
  4. Disclaimer of Warranties. To the fullest extent allowed by law, the Site is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free. 
  1. Limitation of Liability. To the fullest extent permitted by law, Wisconsin Spice and its affiliates, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from or related to your use of the Site. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such states, Wisconsin Spice’s liability is limited to the greatest extent permitted by law.
  1. Indemnification. You agree to defend, indemnify, and hold harmless Wisconsin Spice and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your violation of these Terms or misuse of the Site.
  1. Electronic Communications and E-Sign Consent. By using the Site and providing your email, you consent to receive communications from us electronically (e.g., via the Site, email). Records and signatures in electronic form are valid and enforceable to the extent permitted by the E-SIGN Act (15 U.S.C. §7001 et seq.). If consumer disclosures must be provided “in writing,” electronic delivery is valid only if you give affirmative consent after we provide the required pre-consent disclosures.
  1. Governing Law and Venue. These Terms are governed by the laws of the State of Wisconsin, without regard to its conflicts rules. The exclusive venue for any action not subject to arbitration (or falling within the carve-outs below) will be the state or federal courts located in Green Lake County, Wisconsin, and you consent to their jurisdiction.
  1. Dispute Resolution. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by JAMS under its rules. Either party may seek individual relief in small-claims court. Class, consolidated, or representative proceedings are not permitted in arbitration.
  1. Notice to California Residents (Cal. Civ. Code §1789.3) If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting: 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834; (800) 952-5210.
     
  2. Export Controls. You agree to comply with all applicable U.S. and international export control and sanctions laws and regulations.
  1. Changes to the Site or These Terms. We may modify these Terms from time to time. We will post the updated Terms with an updated “Last Updated” date. Material changes will be effective prospectively. Your continued use of the Site after changes become effective constitutes acceptance.
